BRYANT-CARDENAS RED BRAHMANS CONDITIONS OF SALE OF FROZEN EMBRYOS
1. United States Limited Pregnancy Guarantee For qualifying embryos purchased from Bryant-Cardenas Red Brahmans and transferred within the United States, Bryant-Cardenas Red Brahmans provides a limited pregnancy guarantee of one (1) confirmed pregnancy for every three (3) embryos purchased and properly transferred, subject to full compliance with all terms and conditions contained in this policy. For purposes of this guarantee, a qualifying pregnancy is defined as a viable pregnancy professionally confirmed at approximately ninety (90) days of gestation. The guarantee applies only when all embryos have been properly transported, stored, handled, thawed, and transferred in accordance with generally accepted bovine embryo-transfer practices.
2. Qualified Embryo Transfer Professional or Facility To qualify for the pregnancy guarantee, all embryos must be transferred by one of the following: (a) A licensed veterinarian experienced in bovine embryo transfer; (b) A professionally qualified embryologist or embryo-transfer practitioner; or (c) A recognized bovine embryo-transfer or reproductive facility. The purchaser is responsible for selecting the qualified professional or facility and for all expenses associated with recipient preparation, synchronization, embryo storage, thawing, transfer, veterinary services, pregnancy diagnosis, and all related reproductive procedures.
3. Required Notification of Embryo Transfer Bryant-Cardenas Red Brahmans must be notified of the embryo-transfer program in order for the pregnancy guarantee to remain valid. Notification must include, at minimum: name of the purchaser, identification of the embryos being transferred, name of the professional or facility performing the transfer, date or anticipated date of embryo transfer, and identification of the recipient females, when available. Failure to provide the required notification may render the pregnancy guarantee null and void.
4. Required Transfer and Pregnancy Documentation The purchaser must provide written documentation from the professional or facility performing or supervising the embryo transfers. Documentation must include: identification of each embryo transferred, date of each transfer, identification of each recipient female, date of each pregnancy examination, pregnancy status of each recipient, method used to determine pregnancy status (ultrasound, palpation, or another accepted method), and identification of each recipient determined to be open or not pregnant. All documentation must be signed, certified, or otherwise verifiable by the responsible professional or facility.
5. Documentation of Open or Nonpregnant Recipients Any recipient female claimed to be open or not pregnant must have that status professionally confirmed and documented. A purchaser’s verbal statement, personal observation, or unsupported representation that a recipient failed to become pregnant will not constitute acceptable documentation. Failure to provide professional documentation confirming that a recipient female is open or not pregnant will nullify and void the pregnancy guarantee with respect to that embryo and transfer. Only properly documented unsuccessful embryo transfers will be considered when determining eligibility for a replacement embryo.
6. Ninety-Day Pregnancy Confirmation A successful pregnancy under this guarantee is defined as a pregnancy professionally confirmed at approximately ninety (90) days of gestation. Pregnancy confirmation must be performed and documented by a licensed veterinarian, qualified embryologist, practitioner, or recognized facility. An early positive pregnancy diagnosis does not, by itself, satisfy the terms of this guarantee. The pregnancy must remain viable and be professionally confirmed at approximately 90 days of gestation. Once confirmed at approximately 90 days, the pregnancy guarantee for that group of three embryos is considered fully satisfied, regardless of the subsequent outcome.
7. Replacement Embryo Guarantee If three (3) qualifying embryos are properly transferred within the United States in accordance with this policy and none results in a qualifying pregnancy confirmed at approximately 90 days of gestation, the purchaser will become eligible for a replacement embryo. The replacement procedure is as follows:
After proper documentation establishes all three original transfers failed, Bryant-Cardenas Red Brahmans will provide one (1) replacement embryo.
The first replacement must be transferred in accordance with all requirements contained in this policy.
If the first replacement fails and is properly documented, Bryant-Cardenas Red Brahmans will provide one (1) second and final replacement embryo.
If either replacement produces a qualifying pregnancy confirmed at approximately 90 days, the guarantee is immediately and fully satisfied.
A maximum of two (2) replacement embryos will be provided for each original group of three purchased embryos.
If no qualifying pregnancy is achieved after both replacements, Bryant-Cardenas Red Brahmans will have no further obligation to provide additional embryos, refunds, credits, reimbursements, or other compensation. Under no circumstances will Bryant-Cardenas Red Brahmans provide more than two (2) replacement embryos under this guarantee for the original purchase of three embryos.
8. Selection and Value of Replacement Embryos Whenever reasonably available, Bryant-Cardenas Red Brahmans will provide a replacement embryo from the same mating as originally purchased. If no longer available, the purchaser may select from available embryos under the following terms: (a) select an available embryo of equal value; (b) select an available embryo of lesser value (with no refund or credit provided for the difference); or (c) select an available embryo of greater value by paying the difference. All selections are subject to availability at the time requested. The availability of any particular mating, sire, donor, or genetic combination is not guaranteed.
9. All Sales Are Final ALL EMBRYO SALES ARE FINAL. Once completed, Bryant-Cardenas Red Brahmans does not provide cash refunds, cancellations, returns, or reimbursement of the original purchase price except as expressly stated in a separate written agreement. The purchaser acknowledges that reproductive results can be affected by numerous factors beyond the control of Bryant-Cardenas Red Brahmans. Bryant-Cardenas Red Brahmans will not reimburse the purchaser for: embryo purchase price, recipient costs, recipient preparation/synchronization, veterinary expenses, embryo-transfer fees, pregnancy examinations, shipping/transportation expenses, storage expenses, liquid nitrogen tank expenses, lost breeding opportunities, lost profits, or any other related, incidental, indirect, or consequential expenses. Any replacement rights provided under this policy constitute the purchaser’s sole remedy for an unsuccessful qualifying embryo transfer.
10. Embryo Certificates Embryo certificates will be provided at no additional charge when the resulting cattle are intended to be registered with the American Brahman Breeders Association (ABBA). The purchaser must provide all information and documentation reasonably necessary to prepare and issue the certificate. Issuance is subject to verification of records, verification of parentage, compliance with ABBA rules, and receipt of all necessary information. Any registration, DNA testing, parentage-verification, transfer, or membership fees assessed directly by ABBA or another third party remain the responsibility of the purchaser unless otherwise agreed in writing.
11. Embryos Exported or Used Outside the United States NO PREGNANCY GUARANTEE OR REPLACEMENT EMBRYO GUARANTEE IS PROVIDED FOR EMBRYOS EXPORTED, SHIPPED, STORED, TRANSFERRED, IMPLANTED, OR OTHERWISE USED OUTSIDE THE UNITED STATES. All embryos purchased for export or use outside the United States are sold “AS IS” with respect to pregnancy and reproductive outcome. Once embryos leave the United States, Bryant-Cardenas Red Brahmans cannot supervise or control conditions that may materially affect viability or success, including: international transportation, shipping delays, customs, import/export procedures, handling, storage conditions, temperature exposure, thawing procedures, recipient selection/health, synchronization, transfer technique, veterinary procedures, environmental conditions, and management practices. Accordingly, Bryant-Cardenas Red Brahmans expressly provides no guarantee of pregnancy, conception, live birth, or reproductive success for embryos exported or used outside the United States. Such embryos are not eligible for replacement under the United States pregnancy guarantee unless specifically agreed to in writing before the sale.
12. No Guarantee of Live Calf or Genetic Outcome Any pregnancy guarantee offered applies solely to the specific pregnancy terms stated in this policy or an applicable written sales agreement. A pregnancy guarantee is not a live-calf guarantee. Bryant-Cardenas Red Brahmans does not guarantee: continuation of pregnancy after required confirmation, live birth, calf survival/viability, sex, color/pigmentation, polled/horned/scurred status (except where supported by documented testing), phenotype, birth weight, mature size, genetic expression, structural soundness, fertility, disposition, show-ring performance, breeding performance, future progeny performance, commercial value, or future market value. Pedigree and parentage establish the genetic source but do not guarantee the particular characteristics expressed by the resulting offspring.
13. Handling, Storage, and Transfer After delivery or transfer of possession, proper transportation, storage, handling, thawing, and transfer of embryos are the responsibility of the purchaser and their selected professionals. Bryant-Cardenas Red Brahmans is not responsible for embryo loss or reduced viability resulting from: improper transportation, storage, handling, thawing, or transfer; inadequate maintenance of a liquid nitrogen tank; recipient preparation/synchronization; recipient health; or procedures inconsistent with generally accepted practices. Bryant-Cardenas Red Brahmans reserves the right to request appropriate documentation concerning these procedures in connection with any claim.
14. Purchaser Responsibility The purchaser assumes responsibility for all management decisions, professional services, procedures, and expenses associated with the embryos following purchase, including: recipient selection, health, and management; synchronization; embryo transportation, storage, thawing, and transfer; veterinary care; pregnancy diagnosis; maintenance of pregnancy; and management of any resulting offspring. The purchaser is also responsible for complying with all applicable federal, state, local, foreign, import, export, animal-health, breed-association, and registration requirements, and for determining whether an embryo may legally be used in their jurisdiction.
15. Limitation of Liability To the fullest extent permitted by applicable law, Bryant-Cardenas Red Brahmans shall not be responsible for recipient costs, veterinary expenses, embryo-transfer fees, synchronization costs, storage charges, transportation expenses, lost profits, lost breeding opportunities, loss of use, incidental damages, consequential damages, or other expenses arising from the embryo. Any replacement remedy specifically offered in writing shall constitute the purchaser’s sole and exclusive remedy. Bryant-Cardenas Red Brahmans’ maximum obligation under the guarantee is limited to two (2) replacement embryos for each qualifying original group of three, subject to all terms. Under no circumstances shall any oral statement or informal communication expand or modify these Conditions of Sale.
16. Acceptance of Terms By purchasing, accepting delivery of, receiving possession of, transferring, exporting, implanting, or authorizing the transfer or implantation of embryos purchased from Bryant-Cardenas Red Brahmans, the purchaser acknowledges that the purchaser has read, understands, and accepts these Conditions of Sale of Frozen Embryos. ALL EMBRYO SALES ARE FINAL. No oral statement, representation, promise, modification, or agreement shall alter these Conditions of Sale unless expressly agreed to in writing by an authorized representative. These Conditions constitute the applicable terms governing embryo sales unless superseded by a separate written agreement signed by both parties.

Una vez completada la compra de un embrión, Bryant-Cardenas Red Brahmans no otorgará reembolsos en efectivo, cancelaciones, devoluciones ni reembolso del precio original de compra, salvo que se establezca expresamente lo contrario en un acuerdo escrito por separado y firmado por Bryant-Cardenas Red Brahmans.

Gastos de envío o transporte;

Oportunidades reproductivas perdidas;
Pérdida de utilidades; o
Cualquier otro gasto relacionado, incidental, indirecto o consecuencial.
Cualquier derecho de reemplazo específicamente establecido conforme a una política independiente de garantía de preñez de Bryant-Cardenas Red Brahmans constituirá el único recurso del comprador en caso de una transferencia de embrión elegible que no resulte exitosa.
2. Certificados de Embriones
Los certificados de embriones serán proporcionados sin costo adicional cuando el ganado resultante vaya a ser registrado ante la American Brahman Breeders Association (ABBA).
El comprador deberá proporcionar a Bryant-Cardenas Red Brahmans toda la información y documentación razonablemente necesaria para preparar y emitir el certificado de embrión correspondiente.

3. Embriones Exportados o Utilizados Fuera de los Estados Unidos

Todos los embriones adquiridos para exportación o utilización fuera de los Estados Unidos se venden “TAL COMO ESTÁN” con respecto a la preñez y al resultado reproductivo.
Una vez que los embriones salen de los Estados Unidos, Bryant-Cardenas Red Brahmans no puede supervisar ni controlar las condiciones que pudieran afectar de manera significativa la viabilidad del embrión o el éxito reproductivo, incluyendo, entre otras:
Transporte internacional;
Retrasos en el envío;
Inspecciones aduanales o gubernamentales;
Procedimientos de importación o exportación;

Condiciones de almacenamiento en nitrógeno líquido;
Mantenimiento de los tanques de almacenamiento;
Exposición a cambios de temperatura;
Procedimientos de descongelación;
Selección de las receptoras;
Estado de salud o condición reproductiva de las receptoras;
Protocolos de sincronización;
Técnica de transferencia de embriones;
Procedimientos veterinarios o de laboratorio;
Condiciones ambientales; y
Prácticas de manejo antes o después de la transferencia del embrión.
En consecuencia, Bryant-Cardenas Red Brahmans expresamente no ofrece garantía alguna de preñez, concepción, nacimiento vivo o éxito reproductivo para embriones exportados o utilizados fuera de los Estados Unidos.
Los embriones exportados o utilizados fuera de los Estados Unidos no serán elegibles para reemplazo conforme a ninguna garantía de preñez aplicable en los Estados Unidos, salvo que Bryant-Cardenas Red Brahmans lo haya acordado específicamente por escrito antes de la venta.
4. No Existe Garantía de Becerro Vivo ni de Resultado Genético
Cualquier garantía de preñez ofrecida por Bryant-Cardenas Red Brahmans se aplicará exclusivamente a los términos específicos de preñez establecidos en el contrato de venta o en la política de garantía de preñez correspondiente.

Bryant-Cardenas Red Brahmans no garantiza:

Supervivencia o viabilidad del becerro;
Sexo del becerro resultante;
Color o pigmentación;
Condición de mocho, astado o con cuernos rudimentarios, excepto cuando esté específicamente respaldada por pruebas genéticas documentadas;
Fenotipo o apariencia física;
Peso al nacimiento;
Tamaño adulto;
Expresión genética;
Corrección o conformación estructural;
Fertilidad;
Temperamento;
Desempeño en pista de exhibición;
Desempeño reproductivo;
Desempeño de la futura progenie;
Valor comercial; o
Valor futuro de mercado.
El pedigrí y la filiación establecen el origen genético de un embrión, pero no garantizan las características genéticas, físicas, reproductivas o de desempeño específicas que pueda expresar la descendencia resultante.
5. Manejo, Almacenamiento y Transferencia
Después de la entrega o transferencia de posesión, el transporte, almacenamiento, manejo, descongelación y transferencia adecuados de los embriones serán responsabilidad del comprador y de los profesionales reproductivos seleccionados por el comprador.
Bryant-Cardenas Red Brahmans no será responsable por la pérdida de embriones, reducción de su viabilidad o disminución del desempeño reproductivo que resulte de:
Transporte inadecuado;
Almacenamiento inadecuado;
Fallas o mantenimiento inadecuado de un tanque de nitrógeno líquido;
Manejo inadecuado;
Descongelación inadecuada;
Transferencia inadecuada del embrión;
Preparación de las receptoras;
Sincronización de las receptoras;
Estado de salud o condición reproductiva de las receptoras;
Manejo de las receptoras; o
Procedimientos incompatibles con las prácticas generalmente aceptadas de transferencia de embriones bovinos.
Bryant-Cardenas Red Brahmans se reserva el derecho de solicitar documentación apropiada relacionada con el transporte, almacenamiento, manejo, descongelación, procedimientos de transferencia y diagnóstico de preñez en relación con cualquier reclamación relacionada con un embrión o garantía de preñez.
6. Responsabilidad del Comprador
El comprador asume la responsabilidad de todas las decisiones de manejo, servicios profesionales, procedimientos y gastos relacionados con los embriones después de la compra, incluyendo:
Selección de las receptoras;
Salud y manejo de las receptoras;
Sincronización y preparación de las receptoras;
Transporte de los embriones;
Almacenamiento de los embriones;
Descongelación de los embriones;
Transferencia de los embriones;
Atención veterinaria;
Diagnóstico de preñez;
Mantenimiento de la preñez; y
Manejo de cualquier descendencia resultante.
El comprador también será responsable de cumplir con todos los requisitos federales, estatales, locales, extranjeros, de importación, exportación, sanidad animal, asociaciones de raza y registro que sean aplicables a los embriones y a cualquier descendencia resultante.
El comprador será responsable de determinar si un embrión puede ser legalmente importado, exportado, transferido, registrado o utilizado de cualquier otra forma dentro de la jurisdicción del comprador.
7. Limitación de Responsabilidad
En la máxima medida permitida por la legislación aplicable, Bryant-Cardenas Red Brahmans no será responsable por costos de receptoras, gastos veterinarios, honorarios de transferencia de embriones, costos de sincronización, cargos de almacenamiento, gastos de transporte, pérdida de utilidades, pérdida de oportunidades reproductivas, pérdida de uso, daños incidentales, daños consecuenciales u otros gastos derivados de la compra, transporte, almacenamiento, manejo, transferencia o desempeño reproductivo de un embrión.
Cualquier recurso de reemplazo específicamente ofrecido por escrito por Bryant-Cardenas Red Brahmans constituirá el único y exclusivo recurso del comprador con respecto al asunto cubierto por dicha garantía.
Bajo ninguna circunstancia una declaración oral, representación, conversación, mensaje de texto, comunicación por redes sociales u otra comunicación informal podrá ampliar o modificar una garantía escrita o estas Condiciones de Venta.
8. Aceptación de los Términos
Al comprar, aceptar la entrega, recibir posesión, transferir, exportar, implantar o autorizar la transferencia o implantación de embriones adquiridos de Bryant-Cardenas Red Brahmans, el comprador reconoce que ha leído, comprende y acepta estas Condiciones de Venta para la Compra de Embriones Congelados por Clientes Internacionales.
TODAS LAS VENTAS SON FINALES.
Ninguna declaración oral, representación, promesa, modificación o acuerdo alterará estas Condiciones de Venta, salvo que sea expresamente acordado por escrito por un representante autorizado de Bryant-Cardenas Red Brahmans.
Estas Condiciones de Venta constituyen los términos aplicables que rigen las ventas internacionales de embriones de Bryant-Cardenas Red Brahmans, salvo que sean sustituidas por un acuerdo escrito por separado firmado por Bryant-Cardenas Red Brahmans y el comprador.
